Ken’s practice focuses on private equity, real estate, and land development transactions. He counsels clients on joint venture, entity formation, acquisition, disposition, leasing, financing, and land use matters. Ken counsels insurance companies, private equity and real estate investors in joint venture, limited liability company and partnership formation, structuring, and equity participation. His advice has included asset and entity due diligence, acquisition/disposition of real estate assets and equity interests, and structuring of development transactions to allocate development costs, returns and risks. Ken has also counseled clients in real estate secured loan transactions, including acquisition, development, permanent, bridge, mixed-collateral and mezzanine loans. Ken has developed a strategic understanding of the development of large mixed use communities. He has assisted the developers of such communities along the full life cycle of their development from initial acquisition, land use entitlement, and construction to the sale of lands to merchant home builders and retail and commercial developers. Ken has counseled clients during the CEQA process and negotiated statutory development agreements and disposition and development agreements (DDAs). He has advised clients on land use entitlement strategy, including general plan amendments, subdivision map processing, the Permit Streamlining Act, the Mitigation Fee Act and the impact of climate change on development. Ken advises both public and private owners and managers of hotel properties. His experience includes acquisition and disposition of hotel properties in one-off and multi-state portfolio transactions. He has counseled clients on hospitality construction projects, environmental matters, alcoholic beverage licensing, restaurant leasing, parking and service contracts, and hotel management agreements.
