I provide dedicated outside general and strategic legal counsel for growth companies at all stages and seed-stage and venture capital investors in a variety of sectors including consumer tech, e-commerce, food & agriculture, fin-tech, real estate (e.g. co-working / co-living), life sciences, mobile, micro-lending and transportation alternatives. Scope of work includes structuring & negotiating investments on behalf of investors and private companies; structuring and negotiating commercial transactions including joint ventures and complex IP licenses; legal and regulatory due diligence; investment pipeline review; fundraising advice and support; and operations, strategic, financing, CSR and governance advice for enterprises. Particular experience working with Social Enterprises and Impact Investors on transactional and investment-related matters, including development of impact metrics & milestones, deal-structuring, matters regarding alternate “Flexible/Social Purpose” and “Benefit” corporations, and parallel For-Profit/Non-Profit entity structuring.
