I have represented issuers and investment banks in numerous public and private offerings of debt and equity securities and merger and acquisition transactions and counsel publicly held clients concerning corporate governance matters and SEC reporting and disclosure issues.I am the co-author of the book: '2014 Handbook for Preparing SEC Annual Reports and Proxy Statements' (Wolters Kluwer Law & Business - 13th Edition) as well as many articles in the corporate and securities law area. I am also a frequent speaker to professional and business groups on a variety of corporate and securities law issues affecting both public and private companies.
