Mr. Menard is a member of the Board of Directors and the Audit Committee and the Corporate Governance & Stockholder Relations Committee of Diodes Incorporated (Nasdaq: DIOD), a leading global manufacturer and supplier of application specific standard products within the discrete, logic, analog and mixed-signal semiconductor markets. Until joining Diodes' Board of Directors, he was a senior partner in the Corporate Practice Group of Sheppard, Mullin, Richter & Hamption LLP, an AmLaw 100 firm. His principal areas of practice included corporate governance, corporate social responsibility, securities law compliance and corporate transactions; and his clients range from start-up companies to large, publicly-traded corporations with international operations. Mr. Menard is Co-Chair of the Business & Corporations Law Section of the Los Angeles County Bar Association and a member of the Executive Committee of the Business Law Section of the California Lawyers Association. He was formerly Co-Chair of the Corporations Committee of the Business Law Section of The State Bar of California, Co-Chair-Legislation of the Corporations Committee, Editor-in-Chief of Business Law News (the official publication of the Business Law Section) and a Lecturer at the University of Southern California Gould School of Law where he taught Securities Regulation. Mr. Menard is a member of the Board of Directors of Wayfinder Family Services (formerly, Junior Blind of America) and Huntington Medical Research Institutes. Specialties: Mr. Menard's securities practice included Board and committee representations; internal investigations; periodic SEC filings; exchange listing rules; public offerings; venture capital financings; proxy contests; tender offers; rights offerings; going private transactions; and SEC and exchange enforcement actions. His corporate practice included acquisitions; leveraged buyouts; and technology development, research, license and materials transfer agreements.
