I have assisted franchise and distribution clients with all types of franchise legal issues, including: structuring programs, drafting agreements and disclosure documents, obtaining appropriate registrations, protecting intellectual property, resolving relationship issues, relationship terminations, forming and working with franchisee associations and advisory councils, and dispute resolution, among others. With a similar number of years of experience working with the Staffing Industry, both as inside and outside counsel, I also have served as outside general counsel for staffing companies, assisting them with their various legal issues. I have handled all phases of merger/acquisition/divestiture transactions: deal discussions, confidentiality agreements, letters of intent, due diligence, purchase and sale agreements, closing and post closing issues, including dispute resolution. And, I have held national and regional positions with both franchise and staffing industry trade groups and have done government relations work in each sector. I have chaired the Legal/Legislative Committees of both the American Staffing Association ("ASA") and the International Franchise Association ("IFA"). Finally, I have served as an arbitrator and mediator of commercial disputes, including franchise disputes.
