Significant experience working with Boards of Directors and senior management teams of both public and private companies. Major transactions include the IPO of Apptio (Nasdaq:APTI) and the $1.4 billion sale of Vertafore. Currently EVP, Corporate Development, General Counsel and Secretary at Apptio, responsible for corporate development, strategic business development, legal, privacy, corporate governance and compliance matters. Apptio is the leading provider of SaaS Technology Business Management (TBM) software that helps CIOs manage the business of IT. Previously was SVP, Corporate Development, General Counsel and Secretary at Vertafore, leading the legal, corporate development/M&A, strategic business development and privacy groups. Also served as interim CFO. Vertafore is the leading provider of specialized software, services and information for the insurance distribution channel and was acquired by TPG Capital for $1.4 billion in June 2010. Prior to Vertafore, was a partner in one of the leading law firms representing technology companies. Unique combination of legal, business, management and financial skills. Strong track record of focusing the right resources around key issues, rapidly cutting through the noise and making the important decisions to get high impact results. Excellent negotiator with broad transactional leadership experience including more than 50 domestic and international mergers and acquisitions, 20 initial public offerings and follow-on public securities offerings, 50 venture capital financings, 10 leveraged loan financings and hundreds of technology licensing transactions. Extensive experience advising companies on public offerings (both IPO and follow-on offerings), corporate governance, SEC matters, SOX, IP, HR, executive compensation, data privacy, IT security, SaaS and enterprise software.
