OVERVIEW I provide advice to companies at all stages of growth, from start-ups to publicly listed companies, helping them successfully raise capital, complete acquisitions and divestitures, and comply with regulatory requirements. I work with clients across industries, especially food and beverage companies (https://www.hollandhart.com/food-and-beverage). My experience working at Holland & Hart, two leading Wall Street law firms, and in-house at a major hedge fund allows me to help growth and/or exit oriented clients determine the best way to reach their objectives -- whether that be an IPO, a sale, or other option. I am also an adjunct professor at the University of Colorado Law School and was selected as a Super Lawyers Rising Star for 2014 and 2015 and BizWest's Boulder 40 Under Forty. START-UPS I represent start-up companies from initial formation and financing, through growth stages, and culminating in exit strategies. I also represent venture capital firms with respect to their investments in growth companies. I focus in food and beverage but work with clients in a variety of other industries, such as consumer products and technology. MERGERS AND ACQUISITIONS I have represented clients in public tender offers, mergers, acquisitions, divestitures, and arrangements, including both domestic and cross-border transactions. These deals have ranged in size from a few million dollars to over five hundred million. SECURITIES AND CORPORATE GOVERNANCE I am well-versed in the legal issues surrounding private and public debt and equity offerings, including secondary and at-the-market offerings, in which I have represented issuers and major underwriters. My experience includes a deep understanding of the 1933 Securities Act and 1934 Act reporting.
