Pat is a member of three Boards of Directors, one a New York Stock Exchange listed company and two privately held. In these roles, he utilizes 25 years experience as a PwC audit partner to provide business insight, financial expertise and governance experience. Pat chairs the audit committee for each of these companies and serves on several committees, including compensation, nominating and corporate governance and risk and quality. As a Boston-based audit partner, he specialized in technology and services based companies and led the Boston and US Technology practices for Price Waterhouse. He worked with many fast growing and pre- and post-IPO companies and also served middle market and larger public companies with revenue up to $3 billion. He worked with management teams of pre- and newly-IPO companies on such matters as IPO positioning, compensation strategies, finance department staffing, internal control enhancement, budgeting, SEC compliance and preparation for follow on offerings. He was the lead engagement partner on several IPOs and follow on offerings. This work involved interaction with company investors, especially venture capitalists and private equity investors. His work with management teams of fast-growing and more stable public companies included such matters as international expansion, M&A and strategic partnering arrangement (especially deal structure, due diligence and post deal integration), preparation for sale of the company, risk management, compensation strategies, restatements and 10A investigations and Sarbanes Oxley compliance.
