Dan is a member of the Corporate and Securities Practice Group at Pepper Hamilton LLP. He devotes his practice primarily to mergers and acquisitions, corporate finance and general corporate matters. He has represented public and private companies, as buyers and sellers, in transactions structured as mergers, stock or asset purchases, recapitalizations and leveraged buyouts. He also has represented venture capitalists and emerging companies in debt and equity financing transactions and management led groups in the acquisition of businesses from divesting corporations. He has represented domestic and foreign companies in transactions in the United States and overseas. In addition to his transaction-based practice, Dan is counsel to a number of U.S. companies in a range of industries. In this capacity, he advises senior management and boards of directors on day-to-day legal issues in areas such as corporate governance, strategic matters, contract review, public company reporting requirements and other commercial issues.
