A selection of recent transactions on which I have acted include:- acting for Lorillard, an American tobacco company, on its £60m acquisition of Skycig, a leading UK electronic cigarette brand;- acting for Nokia Solutions Networks, on its acquisition of Mesaplexx, an Australian company who had developed expertise in compact radio systems;- acting for the majority shareholders of Albion Brand Communication, a PR agency, on their sale of a majority stake to the US-based marketing services group KBS (owned by MDC Partners); - acting for the shareholders of Toptable, an online restaurant booking site, on their US$55m disposal of the company to Opentable, an American company which provides restaurant reservation software;- acting for the majority shareholders of Gas Turbine Efficiency (formerly listed on the AIM market) on their US$30m disposal, to Wood Group plc;- acting for PRS for Music, GEMA and STIM on a major collaboration to simplify both the national and pan-European licensing and processing of music rights; - acting for Farfetch on its US$66m series D funding round led by Vitruvian Partners;- acting for Quill Content on its £5m series B funding round led by Smedvig Capital;- acting for Just Eat on its US$64m series C funding round led by Vitruvian Partners; and- acting for Index Ventures on its £7.5 series C funding round in NotOnTheHighstreet, £2.5m series A and £10m series B funding rounds in Funding Circle and a US$10m series B funding round in SoundCloud.
